• M&A and VC investment transactions, SHAs, options, SAFEs; • Research and analysis with regard to regulations of various issues (corporate governance, shares transfers, crypto, IP/IT) in different jurisdictions (UAE, Cyprus, Singapore, USA, EU, Hong Kong, Carribean countries), preparation of memoranda and opinions based on the respective research. • Managing external legal services providers (Armenia, BVI, Netherlands).

• Drafting M&A transaction documents (the same as specified below) – Seller side, Buyer side; • Participation in negotiations with clients and counterparties with regard to transactions; • Drafting memoranda and other documents (management of IT products legal component – preparation documents for a bug bounty platform, an algorithmic crypto market maker, a residential proxy provider, cybersecurity services providers); • Secondment with the major client of the firm – inhouse attorney responsibilities; • Managing the interns' involvement in the firm's projects.

• Working on SAs, SPAs, SHAs, DLs, options, convertible notes, deeds of guarantee, articles of association, various documents of technical nature (deeds of termination and restatement, assignment, novation, resolutions, minutes, KYC statements etc.) – Russian and English law, Seller side, Buyer side; • Preparation of memoranda with regard to various issues of Russian law; • Assistance to senior colleagues, partners and clients during the negotiations concerning the sale of business and other transactions; • Interaction with various state bodies, registrars, notaries.

• Legal research with regard to various matters (corporate, DR, customs etc.); • Interaction with notaries, state bodies, particular services providers; • Working on legal opinions, memoranda, agreements and other documents; • Assisting to litigation associates in preparation to proceedings, as well as in participation in the respective proceedings.

• Legal research with regard to various matters (corporate, DR, customs etc.) (e.g. on acquisition of shares in the capital of a bank, on import of dual-use equipment – with regard to sanctions, on various matters concerning the enforcement of arbitral awards etc.); • Interaction with notaries, public agencies, particular services providers (e.g. subcontractors advising on work permits etc.); • Working on legal opinions, memoranda, agreements (SHA, SPAs) as a part of a team; • Assisting to litigation associates in preparation to proceedings, as well as in participation in the respective proceedings (Recognition and enforcement of international arbitral awards); • Corporate: working on establishment of LLCs, drafting and re-drafting different corporate documents (including articles of association, minutes of shareholders’ meetings, powers of attorney, standard form registration applications (e.g. R13001, R14001) etc.); legal research and subsequent work – as a part of a team – with regard to particular transaction instruments, e.g. options

Assisting senior associates run matters for Clients, advising on corporate restructurings, acquisitions of real property, contract law; drafting legal documents, contracts, claims and memoranda; litigation; preparing different documents to be filed for registration, interaction with notaries, government and municipal agencies, insurance companies; conducting legal research.
